Job description

Overview

Work as a Company Secretary (Legal Officer) in the Corporate Solutions COSEC Team, collaborating with team members to provide administrative, compliance and regulatory services to overseas client companies in accordance with applicable policies, procedures, regulatory requirements, service levels and company standards.

What you'll do

  • Understand corporate and legal compliances applicable in the jurisdictions where client companies are located.
  • Oversee compliances and documentation under applicable anti-money laundering regulations.
  • Handle Board Meeting compliance for overseas client companies, including scheduling meetings, preparing agendas, compiling board packs and circulating them to directors.
  • Handle compliance relating to annual meetings of overseas client companies.
  • Attend Board Meetings and make notes for drafting board resolutions and minutes within applicable internal timelines.
  • Obtain approval and signatures for board resolutions and minutes from directors or the Chairman.
  • Update and renew regulatory documents, including statutory registers, returns, registrations, licenses, certificates and insurance.
  • Complete applications and forms and upload or download documents required for regulatory updates and renewals.
  • Assist the team in providing documents for banking and taxation requirements.
  • Assist with internal audits, risk assessments and reviews.
  • Maintain and update client and internal trackers and ensure data integrity and confidentiality of internal and client information.
  • Draft and vet agreements, contracts and documents.
  • Prepare SOPs and training material for the team.
  • Provide administrative and regulatory support to the Client Services Team and COSEC Team as required.

  • Company Secretary qualification.
  • Excellent drafting skills, including drafting agendas, resolutions, minutes, reports and agreements.
  • Ability to learn and grasp new compliance concepts and global compliances applicable to overseas clients.
  • Strong work ethic.
  • Flexible and adaptable approach towards learning new systems and operational procedures.
  • Ability to work under pressure and tight timelines.
  • Excellent time management and multitasking skills.
  • Strong interpersonal, verbal and non-verbal communication skills.
  • Excellent collaborative, analytical, problem-solving and organisational skills.
  • Ability to work effectively with minimum supervision in a fast-paced, complex and dynamic environment.

  • Efficient MS Office skills, including MS Outlook, MS Word, MS Excel and MS PowerPoint.

Nice to have

  • Experience handling compliances under Anti-Money Laundering Regulations.
