IP and Technology Transactions Attorney

Overview

Arcesium seeks an attorney with an intellectual property and technology transactions background to join its Legal & Compliance team, focused on IP and technology transactions with possible scope across general corporate, employment, litigation and other legal matters as needed.

What you'll do

• Draft, review, and negotiate customer and vendor agreements
• Handle various technology, purchase, service, and consulting agreements
• Review RFPs and DDQs (due diligence questionnaires) as primary representative of the Legal team
• Serve as the internal point of contact for outside counsel handling NDAs, fielding questions as they arise
• Advise business team members on intellectual property matters and other legal issues, including issues related to generative artificial intelligence
• Support general corporate, employment, and litigation matters as they arise

What you'll need

• A law degree and an impressive record of academic achievement
• At least 3-5 years of experience in-house and/or at a law firm
• Experience reviewing and negotiating licensing, technology, and other commercial contracts on behalf of both customers and vendors
• Experience advising clients on intellectual property issues and contract interpretation more generally
• Comfortable juggling competing priorities and working independently and as part of a team in a fast-paced environment
• Excellent analytical abilities, outstanding judgment, keen attention to detail, an impressive work ethic, and proven drafting, communication, and organizational skills

Nice to have

• Prior experience with issues relating to open-source software and/or generative artificial intelligence

• Expected annual base salary $170,000.00 - $200,000.00, plus year-end bonus guaranteed in the first year of hire
