Overview
Lead and manage transaction tax workstreams for acquisitions and other strategic deals, supporting evaluation through post-closing integration. Also support broader corporate and operational tax matters.
What you'll do
- Lead and manage tax workstreams across the deal lifecycle for acquisitions, mergers, acqui-hires, and related transactions.
- Provide early-stage tax input to support deal pipeline evaluation and go/no-go decisions.
- Draft and review tax provisions in transaction documents, including purchase and merger agreements.
- Plan post-acquisition tax integration, including entity rationalization and intercompany restructuring.
- Advise on tax considerations for data center investments, leases, and related infrastructure transactions.
- Advise on tax structuring for joint ventures, strategic partnerships, and REIT-related investment structures.
What you'll need
- Hold a JD or CPA.
- Have M&A and transactional tax experience from a large law firm, Big 4, or in-house transactions tax team.
- Demonstrate strong technical expertise in federal and state tax rules for corporate transactions.
- Have experience running tax due diligence workstreams and quantifying tax exposures.
- Experience drafting and negotiating tax provisions in M&A transaction documents.
- Experience supporting post-acquisition integration from a tax perspective.
