Practice Counsel

Overview

Practice Counsel role focused on advising on domestic and multinational mergers and acquisitions, transaction structuring, and joint ventures.

What you'll do

• Advise and assist various domestic as well as multi-national mergers and acquisitions.
• Advise on substantial acquisitions.
• Assist in transaction structuring; structure, draft and vet transaction documents and negotiate them.
• Conduct legal due diligence on target companies and vendor due diligences representing the companies.
• Provide opinions on foreign direct investment, overseas direct investment and share transfer issues involving non-resident entities.
• Advise Indian and foreign entity collaborators on joint venture transactions, including drafting and negotiating transaction documents, setting up the JVC, regulatory applications and filings, and advising on issues.
• Gain experience in general corporate advisory and commercial contracting.

What you'll need

• Relevant prior experience in the M&A practice area with large corporates.
• 8-10 years of relevant experience.
• Must be abreast of industry M&A trends and best practices.
• Informed on current and developing legislation governing mergers and acquisitions within the business's jurisdiction, ensuring that all M&A initiatives are within the confines of the law.
