Legal Counsel, Corporate & Securities

Overview

Corporate & Securities Attorney for a Nasdaq-listed company (PRCH), supporting full-spectrum public-company corporate and securities legal work.

What you'll do

• Support SEC reporting and public-company compliance, including periodic/current reports and proxy statement.
• Handle corporate governance and secretarial work such as board/committee agendas, resolutions, and meeting minutes.
• Coordinate entity formation and ongoing entity maintenance, including foreign qualifications and state filings.
• Support capital markets and financing activity, including cap table management and due diligence.
• Manage diligence and signing/closing workstreams for mergers, acquisitions, and strategic transactions.
• Administer equity compensation and HR-related agreements, including expansion of equity offerings outside the U.S.
• Collaborate cross-functionally to define initiatives, resolve conflicts, and coordinate with peers and senior leadership.

What you'll need

• Juris Doctor (J.D.), Master of Laws (LL.M.), or substantially equivalent legal degree from a recognized institution in India.
• Minimum 3+ years of relevant experience in U.S. corporate and securities law.
• Strong experience in public-company governance and SEC reporting.
• Strong drafting skills for securities filings, governance documents, and transactional agreements.
• Proficiency with tools including Workiva, Diligent, SimpleLegal, Lexion, Toppan Merrill, and Microsoft Office suite.
• Proven experience working with U.S.-based business teams.
• Strong written and communication skills in English.

Details

• Workplace type: Remote (India).
• Working hours: 8 hours excluding breaks, including 4 core U.S. hours overlap (7:30pm–11:30pm IST).
• Pay range: 3,750,000–5,250,000 INR annually.
