Overview
Provides paralegal-level support for corporate housekeeping, entity governance and transaction-related administration across FME group affiliates worldwide, working under the guidance of supervising attorneys.
What you'll do
- Support corporate housekeeping matters and coordinate routine legal guidance/advice requests pertaining to FME group affiliates worldwide, under attorney and senior paralegal direction
- Draft, prepare and coordinate standard corporate law documents (by-laws, resolutions, etc.) for defined, routine matters, compiling relevant corporate information
- Maintain and update the FME group entity database, supporting data accuracy and completeness under senior paralegal oversight
- Prepare corporate registration documents and support registrations with relevant institutions (e.g. companies house, local courts) for routine filings
- Support other registration and publication requirements, coordinating measures, steps and documentation as directed
- Support governance activities across FME group entities (e.g. board/shareholder actions) by coordinating documentation and process execution under attorney and senior paralegal direction
- Track adherence to internal governance requirements for assigned matters, escalating approval and interpretation questions to the supervising attorneys
- Support M&A, financing and other corporate transactions by preparing and coordinating routine transaction-related documentation (powers of attorney, resolutions, confirmations, representations, etc.), under attorney and senior paralegal direction
- Support closing mechanics and documentation checklists for assigned transactions
- Prepare and coordinate routine interactions with notaries public, courts, embassies, consulates and other public institutions relevant to FME group entities, within a clearly defined, attorney-authorized scope
- Support internal and external stakeholder communications relevant to corporate housekeeping and transaction administration
- Execute defined corporate housekeeping, governance-support and transaction-administration tasks independently with limited supervision; make decisions on moderately complex issues, typically requiring interpretation of established procedure
- Escalate complex, ambiguous or precedent-setting matters to the supervising attorneys rather than resolving them independently
- Represent FME in coordination with external institutions (notaries, courts, registries) within a narrowly defined, attorney-authorized scope, typically for routine or lower-risk matters
- Modify existing administrative processes to fit specific matters; do not redesign governance or transaction-support processes
